Welcome to TechZunction. These Terms of Service govern your use of our website and the services we provide. Please read them carefully before engaging with us.
Acceptance of Terms
By accessing or using the services provided by TechZunction Private Limited, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services. We reserve the right to update these terms at any time, and continued use of our services after changes constitutes acceptance of the revised terms. We will notify you of significant changes via email or through a notice on our website.
Services
TechZunction provides web development, UI/UX design, and digital product services. The specific scope, deliverables, timeline, and milestones for each project will be outlined in a separate Statement of Work (SOW) or proposal agreed upon by both parties before work commences. We reserve the right to subcontract portions of the work to qualified professionals, though we remain responsible for the quality and timely delivery of all deliverables. Any changes to the agreed scope may result in adjustments to the project timeline and cost.
Payment Terms
All prices are quoted in Indian Rupees (INR) and are exclusive of Goods and Services Tax (GST) at the prevailing rate of 18% unless explicitly stated otherwise. For project-based engagements, payment is typically structured as 40% advance, 30% at mid-project milestone, and 30% upon delivery. Monthly retainer payments are due on the first business day of each month. Invoices are payable within 15 days of issuance. Late payments may attract an interest charge of 1.5% per month on the outstanding amount. We accept payments via bank transfer (NEFT/RTGS/IMPS), UPI, and Razorpay.
Intellectual Property
Upon full payment, the client receives ownership of all custom code, designs, and deliverables created specifically for their project. However, TechZunction retains ownership of any proprietary tools, frameworks, libraries, and pre-existing intellectual property used during the project. We reserve the right to use generalized knowledge, techniques, and non-confidential aspects of the work for future projects and portfolio display, unless a separate NDA restricts this. Open-source components used in the project remain subject to their respective licenses.
Limitation of Liability
TechZunction shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services or deliverables. Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project. We are not responsible for any downtime, data loss, or security breaches caused by third-party services, hosting providers, or factors beyond our reasonable control. Clients are responsible for maintaining their own backups and security measures post-delivery.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh, India. Both parties agree to attempt to resolve any disputes through good-faith negotiation before resorting to formal legal proceedings. If negotiation fails, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
